Terms of Service

These General Terms of Service (the “General Terms”) govern the subscription to, and use of, (i) the public websites askvesper.com and hirevesper.com (collectively, the “Website”) and (ii) the AI-assisted interview application at app.askvesper.com (the “Platform”, and together with the Website, the “Services”) provided by Vesper Technologies Inc. (“Vesper,” “we,” “us,” “our”).

Certain features, such as AI-powered scoring, may be subject to additional terms set out in a product-specific schedule (the “Product-Specific Terms”). By (a) accessing the Services, (b) clicking “I agree,” or (c) signing an Order Form or Master Subscription Agreement (“MSA”), the person or entity identified in the Order Form (the “Customer,” “you”) accepts and agrees, on its own behalf and on behalf of its authorised users, to be bound by:

  1. the executed MSA / Order Form;
  2. these General Terms;
  3. the Data-Processing Addendum (DPA);
  4. the Privacy Policy;
  5. any Product-Specific Terms; and
  6. any live policies in Vesper’s Trust Center (https://askvesper.com/trust-center).

If a document higher in this list conflicts with one lower in the list, the higher-numbered document prevails to the extent of the conflict.

1. Definitions


“Affiliate”
– entity that controls, is controlled by, or is under common control with a party, where “control” means > 50 % ownership or the power to direct management.

“AI Features” – any machine-learning or large-language-model functionality in the Services.

“Beta Service”
– any Vesper feature labelled beta, pilot, preview or similar.


“Customer Data”
– all data (including audio/video, transcripts, résumés and metadata) uploaded to the Platform by Customer or Candidates.


“Documentation”
– user guides or policies in the Trust Center.


“Order Form”
– Vesper-approved ordering document, quote, or invoice describing the subscription plan, term and fees.


“Privacy Laws”
– all data-protection laws that apply to a party, including EU/UK GDPR, PIPEDA, Québec Law 25 and applicable U.S. state acts.


“Subscription Term”
– the initial and any renewal period stated in an Order Form.


“User”
– an individual Customer authorises to use the Services (e.g., recruiter, hiring manager, admin).

2. Right to use the Services

2.1 Grant. During the Subscription Term—and subject to payment of fees—Vesper grants Customer a non-exclusive, non-transferable right for its Users to access and use the Services solely for internal recruitment.


2.2 Beta Services.
Beta Services are provided “as is”, may change at any time and may be discontinued without notice or SLA. Use is optional and free.


2.3 AI Features.
AI Features analyse only spoken or textual responses; no facial-recognition or sentiment analysis is performed. Outputs are probabilistic and must be human-reviewed before reliance. Customer must not use AI Features to create competing models, or for automated decision-making that has legal effects without human oversight.


2.4 Acceptable-use restrictions.
Customer will not (and will ensure Users do not):

4. Data, privacy & security

4.1 Ownership. Customer retains all rights in Customer Data. Vesper processes Customer Data only (a) as Processor on Customer’s documented instructions, and (b) as independent Controller for security, integrity, de-identified analytics and legal compliance (see Privacy Policy).

4.2 Data-processing terms. The DPA and Privacy Policy are incorporated by reference.

4.3 Security. Vesper applies administrative, technical and physical safeguards described in the Trust Center and will notify Customer of any confirmed Personal-Data Breach without undue delay.

6. Intellectual property & feedback

Vesper owns all IP rights in the Services and branding. Customer may not remove proprietary notices. Customer grants Vesper an irrevocable, royalty-free licence to use feedback to improve the Services.

7. Publicity

Unless Customer opts out in writing, Vesper may use Customer’s name and logo in marketing materials.

The Services, AI Features and any outputs are provided “as is” without warranties of any kind (express, implied or statutory). Vesper does not warrant uninterrupted or error-free operation or that outputs are accurate or non-infringing.

12. Compliance & export

Customer will comply with all applicable labour, privacy, export-control, sanctions, anti-bribery and modern-slavery laws. Customer shall not permit use of the Services in embargoed countries or in violation of export laws.

13. Governing law & dispute resolution

These TOS are governed by the laws of Québec and the federal laws of Canada applicable therein. Disputes will be resolved by binding arbitration under the Canadian Arbitration Association, seat Montréal, language English or French. Class actions are waived to the extent permitted.

14. Miscellaneous

Neither party is liable for force-majeure events. Notices must be in writing and sent to the addresses in the Order Form (email permitted). The parties are independent contractors. No waiver is effective unless in writing. If any term is unenforceable, the remainder remains in effect.

Schedule A – Product Specific Terms

These AI Terms supplement the TOS and control in case of conflict.

1.  Definitions

Inputs” = Customer Data (prompts, transcripts or other data) submitted to AI Features.
Outputs” = data the AI Features generate in response to Inputs.

2. Licence & usage. Customer may submit Inputs and receive Outputs solely for internal hiring.

3. Model training. Vesper may use Inputs and Outputs in de-identified or aggregated form to train or improve its models, provided Vesper does not disclose Customer-specific information or candidate identities to other customers.

4. IP. Inputs and Outputs are Customer Data; Vesper claims no ownership.

5. Similar Outputs. Customer acknowledges Outputs may be similar to those provided to others.

6. Infringement disclaimer. Vesper does not warrant Outputs are non-infringing; claims alleging IP infringement by Outputs are excluded from Vesper’s indemnity.

7. Accuracy disclaimer. Outputs are machine-generated, unverified, and provided “as is.” Customer must validate before use.

8. Third-party providers. Current AI sub-processors are listed in the Trust Center.

9. Special restrictions. Customer will not (a) use Outputs to infringe rights; (b) use AI Features or Outputs to build or train models; (c) represent Outputs as Vesper-approved; (d) pass Outputs off as entirely human-authored; (e) use AI Features for automated decisions with legal or significant effects without human review; (f) use AI Features for discriminatory, harassing, or harmful purposes.
